1. ACCEPTANCE OF THESE TERMS

These Terms of Service (“Terms”) govern your access to and use of bdcatalysts.com, hispanicautoleads.com, and tellexgroup.com (the “Sites”) and the services offered through them (the “Services”). The Sites are operated by BDCatalysts LLC; tellexgroup.com is operated by its affiliate Tellex Group Investments Inc (each, “we,” “us,” or “our” for its respective Site). “Hispanic Auto Leads” is a brand and service of BDCatalysts LLC.

By accessing or using the Sites, submitting a form, booking an appointment, or otherwise using the Services, you agree to these Terms and to our Privacy Policy (/privacy-policy), which is incorporated by reference. If you do not agree, do not use the Sites.

2. ELIGIBILITY

The Sites are intended for individuals who are at least 18 years old. By using the Sites, you represent that you are 18 or older and have the legal capacity to enter into these Terms.

3. DESCRIPTION OF THE SERVICES

We provide marketing, lead-generation, and business development center (BDC) services for automotive dealerships and other businesses. For consumers, the Sites allow you to submit inquiries about purchasing a vehicle and to be connected with participating dealerships and other businesses that may offer you products or services.

We are not a dealership, lender, broker, or insurer. We do not sell vehicles, extend credit, or make financing decisions. Any vehicle purchase, financing, or related transaction is solely between you and the dealership or other business, on their terms. We do not guarantee that you will be matched with a dealership, receive any particular offer, price, or financing, or complete any purchase.

If you are a dealership or other business client, the services we provide to you are governed by your written services agreement with us; these Terms govern your use of the Sites, and in any conflict the services agreement controls.

4. YOUR SUBMISSIONS

When you submit information through the Sites, you represent and warrant that: (a) the information is true, accurate, and about yourself (not another person); (b) the phone number and email address you provide belong to you and you are the regular user of that phone number; and (c) you have the authority to agree to be contacted at them. You are responsible for any inaccurate or unauthorized information you submit, and you agree to notify us if your phone number changes or is reassigned.

5. CONSENT TO BE CONTACTED

Where you have provided the consent described on our forms and in our Privacy Policy (/privacy-policy), you agree to receive calls, text messages, and emails from us, the participating dealership, and/or other companies that may purchase your information, as described in that consent, including through automated technology. Consent to marketing contact is not a condition of any purchase. You can revoke consent at any time as described in the Privacy Policy and our SMS Terms (/sms-terms).

6. PRIVACY AND SALE OF PERSONAL DATA

Our collection, use, sharing, and sale of personal information — including the sharing of your information with participating dealerships and the sale of lead information to other businesses — is described in our Privacy Policy (/privacy-policy), including your rights and opt-out choices. Please read it.

7. INTELLECTUAL PROPERTY

The Sites and all content on them — including text, graphics, logos, videos, designs, and software — are owned by us or our licensors and are protected by intellectual property laws. “BDCatalysts,” “Hispanic Auto Leads,” “Tellex Group,” and related logos are our trademarks or trade names. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Sites for your personal, non-commercial use. You may not copy, reproduce, distribute, modify, or create derivative works from the Sites or their content without our prior written permission.

8. ACCEPTABLE USE

You agree not to: (a) use the Sites for any unlawful purpose; (b) submit false, misleading, or third-party information; (c) use bots, scrapers, or other automated means to access the Sites or harvest data from them; (d) interfere with the operation or security of the Sites; (e) attempt to gain unauthorized access to any systems or data; or (f) use the Sites to transmit malware or spam. We may suspend or terminate your access for any violation.

9. THIRD-PARTY WEBSITES AND SERVICES

The Sites link to and embed content from third parties (including dealerships, scheduling and form widgets, and social media platforms) and may connect you with third parties such as dealerships and other companies that purchase lead information. We do not control those third parties and are not responsible for their websites, products, services, communications, or privacy practices. Your dealings with any third party are solely between you and them.

10. TESTIMONIALS AND PERFORMANCE CLAIMS

Testimonials, statistics, and results described on the Sites reflect the experiences of specific clients. They are not a promise or guarantee of the results any client or consumer will obtain. Individual results vary.

11. DISCLAIMER OF WARRANTIES

THE SITES AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITES OR SERVICES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SITES OR SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS LIMITS RIGHTS THAT CANNOT BE LIMITED BY LAW, INCLUDING NON-WAIVABLE CONSUMER PRIVACY RIGHTS.

13. INDEMNIFICATION

You agree to indemnify and hold us and our affiliates harmless from any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your violation of these Terms, your misuse of the Sites, or information you submit that is false, misleading, or about another person without authority.

14. GOVERNING LAW; VENUE; DISPUTE RESOLUTION

These Terms and any dispute arising out of or relating to them, the Sites, or the Services are governed by the laws of the Commonwealth of Virginia and applicable federal laws of the United States, without regard to conflict-of-law principles.

Venue. Any dispute shall be brought exclusively in the state courts located in Loudoun County, Virginia, or in the federal court having jurisdiction over Loudoun County, Virginia, and each party consents to the personal jurisdiction of those courts.

Informal resolution first. Before filing any claim, you agree to give us written notice at info@bdcatalysts.com describing the dispute and to attempt in good faith to resolve it with us for at least 30 days.

15. CHANGES TO THESE TERMS

We may update these Terms from time to time. The updated version will be posted on the Sites with a new effective date, and your continued use of the Sites after it is posted constitutes acceptance. Material changes will be notified as required by law.

16. TERMINATION

We may suspend or terminate your access to the Sites at any time, with or without notice, for any conduct we believe violates these Terms or is harmful to us, our clients, or others. Sections that by their nature should survive termination (including Sections 7 and 11–14) survive.

17. GENERAL

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, sale, or reorganization. These Terms, together with the Privacy Policy and any posted supplemental terms (such as the SMS Terms), are the entire agreement between you and us regarding the Sites.

1. ACEPTACION DE ESTOS TERMINOS

Estos Terminos de Servicio (“Terminos”) rigen su acceso y uso de bdcatalysts.com, hispanicautoleads.com y tellexgroup.com (los “Sitios”) y de los servicios ofrecidos a traves de ellos (los “Servicios”). Los Sitios son operados por BDCatalysts LLC; tellexgroup.com es operado por su afiliada Tellex Group Investments Inc (cada una, “nosotros” o “nuestro” respecto de su propio Sitio). “Hispanic Auto Leads” es una marca y servicio de BDCatalysts LLC.

Para los consumidores, los Sitios permiten enviar consultas sobre la compra de un vehiculo y ser conectados con concesionarios participantes y otras empresas que pueden ofrecerle productos o servicios.

No somos un concesionario, prestamista, corredor ni aseguradora. No vendemos vehiculos, no otorgamos credito ni tomamos decisiones de financiamiento. Cualquier compra de vehiculo, financiamiento o transaccion relacionada es exclusivamente entre usted y el concesionario u otra empresa, bajo sus terminos. No garantizamos que usted sea conectado con un concesionario, que reciba alguna oferta, precio o financiamiento en particular, ni que complete alguna compra.

Si usted es un concesionario u otro cliente empresarial, los servicios que le prestamos se rigen por su contrato de servicios por escrito con nosotros; estos Terminos rigen su uso de los Sitios, y en caso de conflicto prevalece el contrato de servicios.

4. SU INFORMACION ENVIADA

Cuando envia informacion a traves de los Sitios, usted declara y garantiza que: (a) la informacion es verdadera, precisa y sobre usted mismo (no sobre otra persona); (b) el numero de telefono y correo electronico que proporciona le pertenecen y usted es el usuario habitual de ese numero; y (c) tiene autoridad para aceptar ser contactado en ellos. Usted es responsable de cualquier informacion inexacta o no autorizada que envie, y acepta notificarnos si su numero de telefono cambia o es reasignado.

El consentimiento para contacto de mercadeo no es condicion de ninguna compra. 13. INDEMNIZACION

14. LEY APLICABLE; JURISDICCION; RESOLUCION DE DISPUTAS

Estos Terminos y cualquier disputa derivada de o relacionada con ellos, los Sitios o los Servicios se rigen por las leyes del Estado de Virginia (Commonwealth of Virginia) y las leyes federales aplicables de los Estados Unidos, sin considerar principios de conflicto de leyes.

Jurisdiccion. Cualquier disputa debera presentarse exclusivamente ante los tribunales estatales ubicados en el Condado de Loudoun, Virginia, o ante el tribunal federal con jurisdiccion sobre el Condado de Loudoun, Virginia, y cada parte acepta la jurisdiccion personal de dichos tribunales.

16. TERMINACION
